FEDERAL WAY SOCCER REFEREES ASSOCIATION CONSTITUTION

 

ARTICLE I:               NAME

 

The name of this Association shall be the Federal Way Soccer Referees Association, hereinafter called the FWSRA.

 

Section 1               The FWSRA shall be affiliated with the Washington State Soccer Referee Committee, hereinafter referred to as SRC, and the United States Soccer Federation, hereinafter referred to as USSF.

 

Section 2               FWSRA is incorporated as a Non-Profit Organization in the State Of Washington.  The FWSRA Washington State Unified Business Identifier is 602212850.  The FWSRA Federal Tax Identification Number is 74-3049763.  The address of the FWSRA is the mailing address of the current Treasurer.

 

ARTICLE II:             PURPOSE

                                                The purpose of the FWSRA shall be to:

A.                  Provide competent officials for organized soccer matches that FWSRA agrees to assign. This includes all levels of Youth Club, Junior High School, High School, College and Adult soccer;

A.                  Represent, control, promote and teach soccer refereeing in the communities we serve;

B.                   Uphold the rules set forth by FIFA, USSF, SRC, WOA, and any other organization which FWSRA chooses to serve and their designated affiliated associations;

C.                   Maintain a roster of all USSF and WOA registered soccer referees, assignors, instructors and assessors in FWSRA;

D.                  Unite all persons interested in soccer refereeing and who chose to affiliate with FWSRA;

E.                   Represent and protect the interests of all soccer referees in FWSRA;

F.                   Provide ways and means for FWSRA members to improve their quality of soccer refereeing through activities planned to inspire, educate, and elevate the participants;

G.                   Encourage a spirit of pride, unity, and cooperation within all ranks of soccer refereeing.

 

ARTICLE III:                        GOVERNMENT

 

Section 1               The Board shall consist of eight positions, elected at the Annual General Meeting by a majority vote of those FWSRA Members eligible to vote and four positions appointed by the Elected Board Members.  The elected positions shall be President, Vice-president, Secretary, Treasurer, Director of Assigning, Director of Instruction, Director of Assessment and Director of Mentoring.  The appointed positions shall be one Director for FWSA and three Directors at Large.

 

Section 2               The authority of the FWSRA shall be vested in the Constitution and By-laws of the Association as approved and/or amended by the membership.

 

Section 3               The fiscal year for the association shall be the calendar year from May 1 to April 30.

 

Section 4               Dues or other assessments shall be set at the direction of the Board of Directors and submitted to a vote of the voting membership. 

 

 

 

ARTICLE IV:                        MEMBERSHIP

 

 

Section 1               Membership in the FWSRA is open to anyone desiring to affiliate with the FWSRA, who is in agreement with the Constitutional Purpose of the FWSRA and whom the Board determines is qualified.  A Member of the FWSRA shall be either, a FWSRA Voting Member or a FWSRA Contributing Member.

Section 2              

A.      A FWSRA Voting Member must be currently registered with USSF as one or more of the following:  Referee, Instructor, Assessor, or Assignor.  A FWSRA Voting member must not be a voting member of any other local referee association or chapter.  A FWSRA Voting Member must be in agreement with the Constitutional Purpose of the FWSRA.  A FWSRA Voting Member must attend a minimum of 50% of the regular FWSRA meetings.  A FWSRA Voting Member must at all times conduct themselves in accordance with the USSF Referee Administrative Handbook.

 

B.       A FWSRA Contributing Member shall be a person who does not qualify as a FWSRA Voting Member, and/or persons, organizations, or funds whose purpose agrees with the Constitutional Purpose of the FWSRA and/or who contributes financially or ”in kind” support for activities of the FWSRA.  FWSRA Contributing Members shall not have voting privileges in the FWSRA.  FWSRA Contributing Members who are registered with the USSF must at all times conduct themselves in accordance with the USSF Referee Administrative Handbook.

 

 

C.       The Board shall be responsible for the examination of candidates for membership, for determining whether a candidate qualifies and for approving the candidate as a FWSRA Voting Member or a FWSRA Contributing Member.  Questions about or challenges to the rights and status of a FWSRA Voting Member will be settled by a vote of the Board.  Questions about or challenges to the rights and status of a FWSRA Contributing Member will be settled by a vote of the Board.  All rulings of the Board shall be final.

 

D.      Persons wanting to transfer from another soccer referees association may do so by meeting: local dues requirements, supplying games record from the previous referee affiliate to the Board, supplying results from physical and written tests as appropriate to the Board and securing Board approval.   All rulings of the Board shall be final.

 

E.       Any referee who has been removed from membership of any other referee association; by reason of disciplinary action, shall not be entitled to membership in the FWSRA.  He may, however, appeal his rejection to the Board who, after investigation, may accept the individual for membership.  All rulings of the Board shall be final.

           

ARTICLE V:              MEETINGS

 

                Section 1               Board Meetings

 

Board Meetings will be held as needed.  The President will determine the date and location.  A quorum of the Board shall be 4 elected members.

 

                Section 2               Regular Meetings

 

The FWSRA shall conduct training sessions for its members besides the basic Referee Clinics.  The training sessions shall be once a month unless otherwise directed by the Board.  A quorum at a regular monthly meeting shall be fifty percent (50%) of the average number of voting members in attendance at the last five regular monthly meetings.

                Section 3               Annual General Meeting

 

The Annual General Meeting shall be held annually January 1 and February 28.  The Annual General Meeting will include: Election of officers; Voting on proposed amendments to the Constitution, and By-laws; The reading and filing with permanent records of annual reports of all the officers.  In addition, the Annual General Meeting shall conduct other business which shall properly come before the membership.

 

A.      The order of business at the Annual General Meeting shall be set by the Board, thirty days before the Annual General Meeting.

 

B.       A quorum for the Annual General Meeting shall be fifty percent (50%) of the      average number of voting members in attendance at the last five regular monthly meetings.

 

C.       Any member may call for a written ballot on any pending motion.

 

ARTICLE VI:            DENIAL & TERMINATION OF MEMBERSHIP

 

                                The Board shall establish a procedure to afford any member notice of and an opportunity                                  for a hearing where a member is alleged to be in violation of the FWSRA Constitution,                                               By-laws, USSF Referee Administrative Handbook or the ethics of refereeing as a                                       profession.  After the appropriate collection of facts and due deliberation, the Board shall                                            vote based upon the preponderance of the evidence, to acquit or to convict the member of                                the charges and to affirm, affirm with penalty or to terminate his membership in the                                               FWSRA.

 

 

ARTICLE VII:           FEES AND FINANCES

 

                Section 1               All monies paid into the FWSRA shall be placed in the Treasury.

 

Section 2               All dues, fines, and other money matters shall be listed in the policies and procedures, as well as game fees and mileage charged to soccer leagues, associations, clubs and/or teams, all as established by the Board.

 

ARTICLE VIII:         RECORDS

 

Section 1               The most current FWSRA Constitution, By-laws, and Policies and Procedures shall be maintained on the FWSRA web site.

 

Section 2               The most current list of FWSRA officers and members shall be maintained on the FWSRA web site.

 

 

 

 

 

 

 

 

 

ARTICLE IX:            AMENDMENTS

 

Section 1               This Constitution may be amended at the AGM or special meeting for this purpose.  Amendments to the FWSRA Constitution shall be submitted in writing to the President, FWSRA, at least 30 days before the AGM or special meeting for this purpose.  The Board must give the proposed changes to the membership at least ten (10) days prior to the AGM or special meeting called for this purpose.      

 

 

                                The Board may vote as to whether they recommend the adoption of said amendments.  Approval occurs when: 1) There is a quorum of members present at the meeting and 2) A majority of the members in attendance approve.

 

Section 2               Members abstaining or voting a blank ballot shall not be counted.

 

 

ARTICLE X:              SAVINGS CLAUSE

 

Should any part of this Constitution be declared illegal under the laws of Federal, State, or Local Government, or improperly inconsistent with the constitution of a higher referee affiliated association, the remaining parts shall remain in force. 

 

ARTICLE XI :           PARLIMENTARY AUTHORITY

 

Roberts Rules of Order Revised shall be the parliamentary authority for the FWSRA in all matters not covered by FWSRA policy under this Constitution, the By-Laws.
